Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the Quill applications and the associated relay service (together, the "Service"), published and operated by Clare Infotech ("we", "us"). By using Quill you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Quill is a private, end-to-end encrypted messenger for business communication. The Service relays encrypted data between authorised devices. Because messages are end-to-end encrypted, we cannot access, moderate, restore, or recover the content of your communications — and you accept that lost keys or deleted data cannot be recovered by us under any circumstances.

We may suspend accounts engaged in abuse of the Service's infrastructure. Because content is encrypted, enforcement is based on metadata (e.g. volume, rate) and reports from your organisation's administrator — never on reading your messages.

Our Privacy Policy describes the limited data the Service handles and forms part of these Terms.

5. Intellectual property

The Quill applications, branding, and service are the property of Clare Infotech. We grant you a limited, non-exclusive, non-transferable licence to use the apps for their intended purpose. You retain all rights to the content you send; by using the Service you grant us only the technical right to relay and temporarily queue your encrypted data for delivery.

6. Availability and changes

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue the Service, or update the apps (including security updates you may be required to install), at any time. We are not liable for unavailability, data loss caused by device loss, forgotten credentials, ephemeral-mode operation, or administrator actions such as account deletion or the destroy-all function.

7. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. No security technology is perfect; while Quill uses industry-standard end-to-end encryption, we do not warrant that the Service is invulnerable to all threats (for example, compromise of your own device).

8. Limitation of liability

To the maximum extent permitted by law, Clare Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our aggregate liability for any claim relating to the Service shall not exceed the amount you paid us for the Service in the twelve months preceding the claim.

9. Indemnity

You agree to indemnify and hold harmless Clare Infotech from claims arising out of your breach of these Terms or your unlawful use of the Service.

10. Termination

You may stop using the Service at any time; uninstalling the app deletes its local data. We or your organisation's administrator may suspend or terminate your access at any time. Sections 5–9 survive termination.

11. Governing law

These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the competent courts of India.

12. Changes to these Terms

We may update these Terms from time to time. We will update the effective date above and, for material changes, provide notice in the app or on this website. Continued use of the Service after changes take effect constitutes acceptance.
